1. Introduction

These terms and conditions govern your use of services provided by Pharmin, a trading name of Nutrapi Ltd, a company registered in Ireland with company registration number 721111. By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, you must not use our services.

2. Definitions

  • "Services" means the Pharmin AI communications platform and related products provided by Nutrapi Ltd.
  • "User" means any person or entity accessing or using our services.
  • "Platform" means the Wellstac platform, including Pharmin, Nootri, Medistac, SafeScan, and BetterDay Payments.
  • "We", "us", "our" refers to Nutrapi Ltd, trading as Pharmin.
  • "You", "your" refers to the User of our services.

3. Account Registration

To access certain features of our services, you may be required to register an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorised use of your account or any other breach of security.
  • Accept responsibility for all activities that occur under your account.

4. Use of Services

You agree to use our services in accordance with all applicable laws and regulations. In particular, you agree not to:

  • Use the services for any unlawful purpose or in violation of any applicable law or regulation.
  • Interfere with or disrupt the operation of the services or the servers and networks used to make the services available.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
  • Use the services to transmit any harmful, threatening, abusive, or otherwise objectionable material.

5. AI Communications

Our AI-powered system handles pharmacy communications including inbound calls, messaging, and automated responses. By using our services, you acknowledge and agree that:

  • AI-generated responses may not always be perfect or fully accurate, and should not be relied upon as a substitute for professional clinical judgement.
  • Clinical queries are identified and routed to qualified pharmacists for professional handling.
  • Calls and interactions may be recorded and analysed to improve service quality and AI performance.
  • You are responsible for reviewing and verifying AI-generated outputs where they relate to patient care or clinical decisions.

6. Intellectual Property

All content, software, trademarks, branding, and other intellectual property associated with the platform remain the exclusive property of Nutrapi Ltd or its licensors. No right, title, or interest in any intellectual property is transferred to you through your use of the services. You retain full ownership of any data you upload or input into the platform.

7. Data Protection

We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR). You are responsible for ensuring that you have obtained all appropriate consents and legal bases for the processing of patient data through our platform. We act as a data processor on your behalf where you are the data controller.

8. Fees and Payment

Fees for our services are as agreed in your individual service agreement. We reserve the right to update our pricing with a minimum of 30 days' written notice. All fees are exclusive of applicable taxes unless otherwise stated. Non-payment of fees may result in suspension or termination of your access to the services.

9. Service Availability

We aim to provide high availability of our services but do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance where reasonably practicable. We shall not be liable for any loss or damage arising from service interruptions, whether planned or unplanned.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising out of or in connection with your use of the services. Our total aggregate liability for any claims arising under or in connection with these terms shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nutrapi Ltd, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the services, your violation of these terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate the service agreement by providing 30 days' written notice to the other party. We reserve the right to suspend or terminate your access to the services immediately and without notice in the event of a material breach of these terms. Following termination, you will have 30 days to export your data from the platform, after which it may be permanently deleted.

13. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

14. Changes to Terms

We reserve the right to update or modify these terms at any time. We will provide a minimum of 30 days' notice of any material changes. Your continued use of the services after such changes take effect constitutes your acceptance of the revised terms.
